The U.S. government has issued final regulations on the 1% corporate stock buyback excise tax, significantly limiting the situations where the tax can be imposed. Modifying previous proposed regulations, the final regulations eliminate the much-criticized "funding rule" that would have subjected foreign public companies to the U.S. tax and provided favorable answers in several other areas, exempting many redemption-like payments made by corporations to their shareholders, including boot payments in certain acquisitive reorganizations, redemptive payments made in respect of "plain vanilla" preferred stock, and in "take private" and similar transactions. Taxpayers who filed and paid stock buyback excise tax, as determined under the broader proposed regulations, may now have an opportunity to claim a refund of some of those excise taxes. Japan’s Ministry of Health, Labour, and Welfare (MHLW) recently published a report proposing the use of a panel of experts to help assess the risk of patent infringement by a generic product. Depending on the results of the trial, the MHLW will decide whether to use the panel expert system permanently, which could improve the quality of the approval process for generic products and biosimilars and reduce post-approval patent disputes between a brand company and a generic or biosimilar company. The MHLW is still assembling its list of experts and will publish additional details. It remains to be seen whether it will accomplish its goal of reducing the frequency of post-approval patent disputes and whether it will be adopted on a permanent basis. The SEC’s decision to scale back staff input on shareholder proposal exclusions marks a significant shift in the proxy landscape and ushers companies and proponents alike into uncharted territory.
