The PE exit dry spell is still a desert. End of Q125, PE firms hold 30,466 companies, enough to last eight years at last year's exit rate. Early 2025 data suggests even fewer exits this year. A lot of commentary on Deepseek today, I put together a few of my thoughts on the story so far. Quick TLDR: - The claims of the Deepseek team are extraordinary if true, but not yet currently verified. I'd like to see more evidence that the model only required the cost/compute they claim. - Geopolitics are going to matter here. Deepseek's Chinese roots are going to cause significant challenges for any sort of fully hosted application - this is Tiktok 2.0. - As a data nerd, I love intelligence getting cheaper. At Lincoln, we’re seeing this firsthand. Our private equity clients are finding value by capitalizing on market dislocations and acting decisively when A-quality assets come to market. With the success of their high performing investments, many private equity firms are also increasingly taking business to market they have held for a long time that have not lived up to their investment theses. A merger closes, celebrations begin, but most companies quietly collapse within 100 days. It sounds harsh, but it’s true. The real challenge of any M&A deal isn’t signing the papers or winning over shareholders. It’s what happens next: the integration. Most founders and leaders pour 90% of their energy into negotiating the deal, the valuation, the price, and the legalities. However, the success of the merger or acquisition depends far more on how well the companies come together operationally. Due diligence isn’t just about the numbers. It’s about understanding the people, the processes, the culture, and the technology that will have to merge seamlessly. The merger of Kingfisher and Air Deccan is a prime example of this. Despite the initial excitement, the integration was riddled with misalignment, different cost structures, brand perceptions, and customer segments. The result? Resources meant for Kingfisher had to be diverted towards Air Deccan, resulting in a massive lapse in resource allocation. Lastly, this was a significant reason for operational chaos and a financial downfall that contributed to Kingfisher’s collapse. Many Indian M&As fail because integration is treated as an afterthought, a costly mistake for founders and businesses. The best leaders know that the deal is only the beginning. They spend at least 60% of their time planning and executing the integration because that’s where the real value lies. If you ignore integration, you risk losing your best people, alienating customers, and killing the synergy that justified the deal in the first place.
