CFO’s in Palm Springs…..and not golfing?? Wrapping up a great past few days at the 2025 AICPA/CIMA CFO Conference. Top 3 takeaways for Controllers/CFO’s: 1. Power in People 👬👭. Technical skills aren’t seen as a strength; they’re just expected. The “power skills” a CFO should focus on is their ability to lead and manage their teams. 2. Future Focus ➡️. The days of a CFO just present historical financials is over. They need to be a leader in driving the strategy and storytelling of the company. 3. AI: Just Do It 🤖. People are obsessed with AI…..but still don’t know how to use it. But that’ll change, fast, it’ll have massive impact, and those trying it now will set reap the most benefit. Start running any question/search through genAI tools like ChatGPT, Gemini, etc., just to see how it works and helps. Start small, and go from there. It’s been awesome, met some great folks, and already can’t wait for next year!

Tax and accounting services can feel like a commodity, but the reality is: Not all firms are created equal.  Too many business owners think hiring a CPA means they can check out, but that’s a recipe for missed opportunities and costly mistakes.  The best results come when you stay engaged and curious about your numbers.  Don’t just sign your tax return. Review it, ask questions, and understand the story it tells about your business.  Your involvement is your best safeguard.

⚠️ A warning to any S corp business owner with partners or future plans to have partners. Unlike a partnership, reallocating profits and ownership in an S corp is not easy. If you change ownership, there will most likely be tax consequences. There are 3-4 methods for reallocating ownership percentages in an S corp.  ☝️- Have one owner buy the shares from the other owner(s) – this would result in capital gains for the partner selling their shares. ✌️- The corporation issues new shares and the other owner(s) get diluted to the point where the ownership percentages are in line with the updated plan. This also results in capital gains for partners who have been diluted. This method also likely involves a valuation specialist and attorney to assist. 👌 – Dissolve the S corp and start a new partnership with the desired updated ownership percentages. In this scenario, you have to distribute all assets (including goodwill). If the business has value, this would still result in capital gains due to the liquidation of assets and goodwill. ✋ – This one is a bit gray, but could work? I would recommend getting a tax attorney involved here, but you could potentially gift the shares (as a friend or family). The selling partners would then file a gift tax return and the value of the shares gifted would go towards the individual's lifetime gift exemption. This method likely has the least tax impact, but greatest IRS scrutiny.

The Governmental Accounting Standards Board (GASB) just published its first Implementation Guidance Update since 2023. I continue to be amazed by the number of people who don't know that the Q&As in #GASB IGs are authoritative #GAAP. If the facts and circumstances in the question are applicable to a government, it is required to apply the guidance in the answer. In my opinion, I think the ultimate goal of accounting should still be “to make partner”, but I would change the phrase to: “To become an owner” Being an “owner” can still look like the traditional path of working 10-15 years as long as you are an EQUITY partner that has enough meaningful units/shares OR that could also mean working 5+ years and starting your own solo firm where you own 100% of the units/shares. P.S. some firm owners started their own firms working less than 5 years and some firm owners purchased a firm and never even worked in accounting, but the ultimate goal is still meaningful ownership.
