The Fed might cut rates, but it won’t save commercial real estate. Here’s why (and what asset is working instead): CRE debt isn’t priced directly off the Fed Funds rate. It’s priced off Treasury yields + a spread (think Freddie/Fannie multifamily loans). Late 2024 proved it: • Fed cut rates by 1% • But 10Y Treasuries climbed • CRE borrowing costs stayed ~7% Meanwhile, cap rates are still ~5% (20x NOI). That’s negative leverage: borrowing at 7% to buy a 5% yield. Now compare to SMBs: • Buy at 3-4x EBITDA • Improve ops • Exit at 6-8x multiples (possibly double return, assuming you can execute) Fed rate cuts only help if Treasury yields fall and credit spreads narrow. Without that, CRE debt stays expensive and valuations stay under pressure. The smarter play today? Bank of America just earned the largest fee ever disclosed for an investment bank. $130M...from ONE deal. BofA advised Norfolk Southern on its $71.5B sale to Union Pacific Railroad, the year’s largest M&A deal and one of the biggest in railroad history. What can we learn from this? 1. Relationships matter: BofA’s exclusive sell-side mandate is why they earned the biggest fee. Building trust with clients is just as important as technical skills. 2. Preparation beats prestige: At $85B enterprise value, size wasn’t the differentiator, execution was. Structuring around regulatory risk and designing protections (like a $2.5B reverse termination fee) drove real value. 3. Banking is bigger than finance: In regulated sectors like railroads, deals impact national supply chains, competition, and infrastructure. The best bankers connect financial logic with broader economic and policy narratives. The takeaway: the biggest fees don’t just reward size, they reward banks who combine expertise, trust, and the ability to de-risk complex deals.
