Tip of the day: Rule 3-12 Reg S-X Rule 3-12 of Regulation S-X governs the age of financial statements in registration statements, proxy and other filings under Exchange Act 34 or 1933 Act. -> Annual audited financials must not be more than 1 year and 45 days at the time of filing or effectiveness, if they are, then interim unaudited financials are required -> Interim unaudited financials: typically required for the most recent quarter if the annual financials are more than 134 days old (129 days for large accelerated filers and accelerated filers) for all other filers
